How to start a business in Italy

Starting a business in Italy involves several steps and requirements, for this reason our law firm offers assistance to comply with all relevant regulations. To start a business in Italy, these are the main steps:

1. Choose your business structure: You can choose to start your business as a sole proprietorship or as a company. If you choose to start a company, you will need to decide whether to form a limited liability company (SRL) or a public limited company (SPA). The most frequently used is the “S.R.L.” (limited liability company). It has legal personality, this means that only the company is responsible for its obligations, not the shareholders.

2. Choose a business name: You will need to choose a name for your business. The name must be unique and not already in use by another company. You can check the availability of a name using the Italian Business Register (Registro delle Imprese).

3. Obtain a tax identification number (TIN): You will need to obtain a TIN from the Italian Revenue Agency (Agenzia delle Entrate).

4. Register your business: You will need to register your business with the Italian Business Register. You can do this online or in person.

5. Depending on the type of business you are starting, you may need to obtain licenses and permits from various government agencies. For example, if you are starting a restaurant, you will need to obtain a food service permit.

6. Open a bank account: You will need to open a bank account for your business.

7. Register for VAT: If your business is going to sell goods or services in Italy, you will need to register for Value Added Tax (VAT).

8. Hire employees: If you plan to hire employees, you will need to register with the National Social Security Institute (Istituto Nazionale della Previdenza Sociale) and obtain a social security number for each employee.
